Acquisition of Real stores: Further second phase proceeding initiated – Bundeskartellamt examines Edeka/SCP merger more closely

The Bundeskartellamt has today begun an in-depth second phase review of the acquisition by Edeka Zentrale AG & Co. KG, Hamburg of up to 72 Real stores from SCP Retail S.àr.l. as further investigations into the sales and procurement markets are necessary. The Edeka group, which essentially operates as a cooperative, is Germany’s largest food retailer. SCP Retail is a Russian investment company, which has acquired all of the Real stores from Metro. The examination period in the second phase proceeding will now run until 21 December 2020.

In addition to Kaufland, which belongs to the Schwarz group, Edeka is the second food retailer to notify the Bundeskartellamt of its proposed acquisition of Real stores. On 10 July 2020 the Bundeskartellamt initiated a second phase review of Kaufland’s proposed acquisition of up to 101 Real stores. In this proceeding the authority decided for the most part positively on several applications for admission to the proceeding. To date the competitors Globus, tegut, Kaes, Edeka and Rewe have been admitted to the proceeding. With Kaufland’s approval as the notifying party the examination period in this proceeding has been extended by four weeks to 9 November 2020.

The Bundeskartellamt will now continue with its competitive analysis and assessment of the relevant sales and procurement markets in both proceedings.
